1. Acceptance of Terms

By accessing or using the BuzzWatch platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By accepting these Terms, you represent that you have the legal authority to enter into a binding agreement, either on your own behalf or on behalf of the organization you represent.

2. Description of Service

BuzzWatch is an AI-powered brand intelligence and monitoring platform that allows users to:

• Monitor brand mentions across AI platforms such as ChatGPT, Perplexity, Google AI Overview, and others
• Perform competitor analysis and sentiment analysis on AI-generated responses
• Track source attribution, multi-platform coverage, and AI bot activity
• Access analytics, trends, and content intelligence reports
• Generate prompts and research insights related to your brand

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by providing a valid email address and, where applicable, other requested information. You agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect any unauthorized use of your account. We will not be liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Organizations and Teams

If you create an account on behalf of an organization, you represent that you have authority to bind that organization to these Terms. The organization is responsible for all activity under its account, including the actions of its invited members.

3.4 Age Requirement

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age.

4. Subscriptions, Billing, and Payments

4.1 Subscription Plans

The Service is offered on a subscription basis. Available plans, pricing, and features are described on our Pricing page. We reserve the right to modify our pricing with reasonable advance notice.

4.2 Billing

Subscriptions are billed in advance on a monthly or annual basis depending on the plan selected. All fees are exclusive of applicable taxes, which are your responsibility. Payments are processed securely through Stripe.

4.3 Free Trials

We may offer free trials at our discretion. At the end of a free trial, your subscription will automatically convert to a paid plan unless you cancel before the trial period expires.

4.4 Cancellations and Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period and you will retain access to the Service until then. We do not provide refunds for partial billing periods, except as required by applicable law.

4.5 Late Payments

If a payment fails, we will attempt to notify you by email. If the payment issue is not resolved within a reasonable period, we reserve the right to suspend or terminate your access to the Service.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Monitor brands or individuals without authorization or for unlawful purposes
• Transmit any content that is defamatory, obscene, fraudulent, or otherwise objectionable
• Attempt to gain unauthorized access to the Service, its servers, or connected systems
• Introduce viruses, malware, or other harmful code
• Use automated tools (bots, scrapers, crawlers) to access the Service without our express written permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or otherwise commercialize access to the Service without our written consent
• Use the Service in a way that could damage, disable, or impair its performance or availability
• Collect or harvest data about other users without their consent

We reserve the right to investigate and take appropriate action — including suspending or terminating your account — if we believe you have violated this section.

6. Intellectual Property

6.1 Our IP

The Service and all its content, features, and functionality — including but not limited to software, text, graphics, logos, icons, and images — are owned by BuzzWatch or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

6.2 Your Content

You retain ownership of any content you submit to the Service (such as brand names, monitoring prompts, and configurations). By submitting content, you grant us a limited, worldwide, non-exclusive, royalty-free license to use, store, and process that content solely to provide the Service to you.

6.3 Feedback

If you submit feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation to you.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you agree to the collection and use of your data as described in the Privacy Policy.

We process data from third-party AI platforms as part of the monitoring service. You are responsible for ensuring that your use of the monitoring results complies with the terms of service of those platforms and applicable laws.

8. Third-Party Services and Links

The Service may integrate with or contain links to third-party services (such as Stripe for payments, or AI platforms for data collection). We are not responsible for the content, privacy practices, or terms of those third-party services. Your use of third-party services is governed by their respective terms.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• Any data collected from AI platforms is complete, accurate, or up to date
• Results from the Service are suitable for any particular business or legal purpose
• Defects in the Service will be corrected within a specific timeframe

AI platform data is collected from third-party sources that are outside our control. Data availability, accuracy, and timeliness may vary.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUZZWATCH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF (OR INABILITY TO USE) THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless BuzzWatch and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including attorneys' fees) arising from:

• Your use of or access to the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Any content you submit to the Service

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if we reasonably believe you have violated these Terms. Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account data in accordance with our data retention policy
• Any accrued payment obligations remain due

You may terminate your account at any time from your account settings. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the European Union and the laws of Italy, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent courts of Italy, unless mandatory consumer protection laws in your jurisdiction require otherwise.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by displaying a prominent notice in the Service and updating the "Last Updated" date at the top of this page.

Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service and cancel your subscription.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and BuzzWatch with respect to the Service and supersede all prior agreements.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
